To further deepen the reform of empowerment and management of service-related scientific and technological achievements, and accelerate the output, transformation and application of scientific and technological achievements across the province, we hereby issue the Several Policies and Measures of Guangdong Province for Promoting the Reform of "First Use, Then Transfer" of Service-Related Scientific and Technological Achievements. Please earnestly implement them. Any problems encountered in the implementation shall be directly reported to the Department of Science and Technology of Guangdong Province.

Several Policies and Measures of Guangdong Province for Promoting the Reform of "First Use, Then Transfer" of Service-Related Scientific and Technological Achievements


To implement the guiding principles of the Third and Fourth Plenary Sessions of the 20th Central Committee of the Communist Party of China, the Fifth Plenary Session of the 13th CPC Guangdong Provincial Committee, and the provisions of the Science and Technology Innovation Regulations of Guangdong Province, further deepen the reform of empowerment and management of service-related scientific and technological achievements, address the problems of "daring not to transfer, unwilling to transfer, and not knowing how to transfer" such achievements, explore new measures, models and paths for the transformation of scientific and technological achievements through innovation, and accelerate the output, transformation and application of scientific and technological achievements, the following measures are formulated for the reform of "First Use, Then Transfer" of service-related scientific and technological achievements in our province.


I. Innovate the Reform Model of "First Use, Then Transfer"

Support achievement-holding entities such as institutions of higher education, scientific research institutions, and medical and health institutions (hereinafter referred to as "achievement-holding entities") to carry out the transformation of scientific and technological achievements with enterprises, especially micro, small and medium-sized enterprises, through the models of "first use, then payment" or "first use, then cooperation". Relevant provincial departments shall formulate supporting policies and incentive measures to promote this work.


(I) First Use, Then Payment
After an achievement-holding entity licenses its scientific and technological achievements to an enterprise for free use for a certain period, both parties shall, on a voluntary basis, agree on payment matters through methods such as "instalment payment", "deferred payment", "revenue-based royalty payment" and "milestone payment", and complete the formal licensing (transfer) procedure.


(II) First Use, Then Cooperation
After an achievement-holding entity licenses its scientific and technological achievements to an enterprise for free use for a certain period, both parties shall, based on the progress of transformation and implementation, adjust and agree on the cooperation methods for technology transfer, technology licensing, technology development and investment in kind for the same or different achievements of the same completer in the next stage, and complete the transformation transaction process.


Achievement-holding entities are allowed to reach preliminary agreements with achievement completers through simplified procedures. Achievement completers may first transform their scientific and technological achievements on their own, and both parties shall initiate the formal procedures for ownership division and income distribution within the agreed period. Achievement-holding entities and completers are encouraged to carry out patent transformation through the patent open licensing method.


II. Establish a Management System for "First Use, Then Transfer"

Provincial administrative departments for science and technology, education, health, and market regulation shall, in accordance with their functional divisions, guide the implementation of the "First Use, Then Transfer" reform by achievement-holding entities in their respective industries and fields, organize work such as incentive support for and recognition of due diligence and immunity from liability in the "First Use, Then Transfer" of scientific and technological achievements, establish a supporting system including standardized contract texts, and rely on professional institutions to jointly build a province-wide systematic service network with relevant municipal administrative departments, technology transfer and transformation service institutions, and incubators. All cities and development zones at or above the provincial level may, in light of local realities, formulate supporting measures to promote the local transformation and implementation of scientific and technological achievements through the "First Use, Then Transfer" model. Achievement-holding entities shall establish supporting management systems for the "First Use, Then Transfer" reform, set up guidance funds for achievement transformation, and support achievement completers in carrying out achievement transformation work such as "First Use, Then Transfer".


III. Strengthen Incentives and Guarantees for Achievement Completers

For scientific research projects where the cumulative actual received amount of a single achievement licensing (transfer) contract reaches more than 500,000 yuan under the "first use, then payment" model, or the actual received amount of the contract for the first cooperation project reaches more than 500,000 yuan under the "first use, then cooperation" model, upon review and recommendation by the achievement-holding entity or its higher competent department, the provincial science and technology administrative department shall, based on conditions such as the actual received amount of the project and the annual number of shortlisted projects of the achievement-holding entity, conduct a merit-based selection and recognition, and such projects shall be regarded as projects approved under provincial science and technology plans (without financial support from the provincial government). If the same achievement has already been approved as a provincial science and technology plan project, it shall not be approved repeatedly; an achievement completer shall not be recognized for more than one project in a year. The total number of recognized projects in a year shall not exceed 200 in principle.


For the transformation of achievements under the "first use, then payment" model, the proportion of net income from transformation or equity rewards given to achievement completers shall not be less than 70%. For the transformation of achievements under the "first use, then cooperation" model, if ownership is granted, the proportion given to achievement completers shall not be less than 70%; if long-term use rights are granted, the proportion of net income from transformation or equity rewards given to achievement completers shall not be less than 70%. Achievement-holding entities are encouraged to give achievement completers all the net income, equity or ownership.


IV. Strengthen the Main Responsibility of Achievement-Holding Entities in Transformation and Implementation

Achievement-holding entities shall use funds such as retained income from the transformation of their own scientific and technological achievements to set up guidance funds for achievement transformation, which shall be used for carrying out work related to achievement transformation and rewarding staff of transformation management departments who have achieved remarkable results in promoting achievement transformation. For achievement-holding entities that implement transformation under the "first use, then payment" and "first use, then cooperation" models, the provincial science and technology administrative department shall conduct quantitative evaluations based on indicators such as the number of scientific and technological achievements released, the number of technology contracts signed for "First Use, Then Transfer", the volume of technology transactions, and supporting conditions, and announce the list of outstanding achievement-holding entities in a timely manner. Support for the eastern, western and northern regions of Guangdong shall be strengthened, and the "First Use, Then Transfer" model shall empower the high-quality development of the "Million Project".


V. Encourage Financial Service Institutions to Play a Role in Risk Sharing

Insurance institutions and guarantee institutions are encouraged to participate in the "First Use, Then Transfer" work, accurately meet the risk guarantee needs of "First Use, Then Transfer", develop special science and technology insurance and guarantee products for "First Use, Then Transfer", and provide risk management support for innovation entities. The provincial science and technology administrative department shall actively explore relevant supporting policies.


VI. Give Play to the Professional Efficiency of Technology Transfer and Transformation Service Institutions

Technology transfer and transformation service institutions with independent legal person status that focus on specific industries and operate in a market-oriented manner are encouraged to provide professional services for both suppliers and demanders of scientific and technological achievements. The provincial science and technology administrative department shall entrust professional institutions to conduct a comprehensive evaluation based on indicators such as the number of "First Use, Then Transfer" scientific and technological achievement transformations facilitated by technology transfer and transformation service institutions and the transaction volume of technology contracts, and announce the list of outstanding technology transfer and transformation service institutions for "First Use, Then Transfer" in a timely manner.


VII. Build an Online Platform for "First Use, Then Transfer"

The provincial science and technology administrative department shall, relying on the Sunshine Government Affairs Platform for Guangdong Provincial Science and Technology Business Management, launch a functional module for "First Use, Then Transfer", which provides services such as the release of achievements and technology demands, matching of supply and demand, contract signing, and science and technology insurance to support the implementation of the "First Use, Then Transfer" work. Technology transfer and transformation service institutions are encouraged to use the information resources of the Sunshine Government Affairs Platform for Guangdong Provincial Science and Technology Business Management to carry out promotion services. Exploration shall be made to build a "Peace of Mind House" for due diligence and immunity from liability to address the problem of "daring not to transfer".


VIII. Broaden the Source Channels of Scientific and Technological Achievements for "First Use, Then Transfer"

All cities and achievement-holding entities are encouraged to, in light of local and institutional realities, mobilize relevant departments and achievement completers to actively provide various transformable projects to the provincial online platform for "First Use, Then Transfer". Enterprises and achievement-holding entities such as universities and research institutes outside the province are encouraged to actively recommend outstanding scientific and technological achievements to the online platform for "First Use, Then Transfer" for transformation. Scientific and technological achievements from scientific research projects supported by provincial financial science and technology funds (excluding those involving national defense, national security, national interests, and major social public interests) that have not been transformed within three years after the completion of project acceptance shall, in principle, be included in the provincial online platform for "First Use, Then Transfer" for subsequent transformation.


IX. Strengthen the Popularization, Application and Local Transformation of Achievements

All cities and development zones at or above the provincial level shall make good use of achievement resources, give full play to the role of provincial incubators, technology transfer and transformation service carriers and institutions, take the initiative to carry out activities such as the release and promotion of scientific and technological achievements, roadshows and exhibitions, achievement matching, and scenario application, mobilize local enterprises to strengthen communication and cooperation with relevant achievement-holding entities and personnel, deepen mutual trust and understanding between both parties, and promote the solution of technical problems in enterprise development. All cities are encouraged to actively explore diversified local implementation paths for the "First Use, Then Transfer" model and strengthen supporting support. Relevant provincial and municipal departments shall strengthen policy publicity and guidance, timely summarize and promote typical cases and experience of "First Use, Then Transfer", expand the influence of the work, form a demonstration effect, and promote the better transformation and implementation of scientific and technological achievements.


X. Strengthen the Evaluation and Supervision of the "First Use, Then Transfer" Work

The provincial science and technology administrative department shall, based on the data from the provincial online platform for "First Use, Then Transfer" and the annual special data reported by all achievement-holding entities and relevant municipal departments, take the lead in conducting work evaluations and announce the evaluation results in a timely manner. The provincial science and technology administrative department shall, in conjunction with relevant departments, strengthen guidance, implement prudent and inclusive supervision, and promptly correct and resolve deviations and problems found in the reform work. Responsible entities for major violations and serious untrustworthy acts found in the implementation of measures such as the recognition of "First Use, Then Transfer" projects shall be included in the scientific research dishonesty records in accordance with relevant scientific research integrity provisions, or transferred to the relevant competent departments for serious handling in accordance with relevant provisions.


These Policies and Measures shall come into force on February 1, 2026, and shall be valid for five years. The Department of Science and Technology of Guangdong Province shall be responsible for the interpretation of these measures. Achievement-holding entities stationed in Guangdong shall apply these Policies and Measures.
